Terms of Service

1. Acceptance of Terms

By accessing or using Linkage VA Hub ("Linkage", "the Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Platform. These Terms apply to both employers ("Clients") and virtual assistants ("VAs") — collectively, "Users."

2. About Linkage

Linkage VA Hub is a Philippines-based two-sided marketplace that connects international employers with Filipino virtual assistants. We provide the platform for discovery, communication, engagement management, and payment — but we are not a party to the service contract between Client and VA.

3. Account Registration

You must create an account to use the Platform. By registering, you represent that:

  • You are at least 18 years old.
  • The information you provide is accurate and complete.
  • You will maintain the security of your credentials.
  • You will notify us immediately of any unauthorized use of your account.

We reserve the right to suspend or terminate accounts that violate these Terms.

4. Pricing

Linkage does not sell subscriptions and does not charge signup, posting, or membership fees. Posting jobs, browsing profiles, messaging, time tracking, and job management are provided at no cost.

Our only charge is a flat 10% transaction fee, applied to escrow transactions and deducted at the point of release — that is, only once the employer has approved the work. If a job does not complete, no fee is charged. Prices are subject to change with 30 days' notice.

5. Escrow Payments

Linkage facilitates non-custodial stablecoin escrow payments through our regulated payment partner. The escrow flow:

  • Fund — The Client deposits stablecoin (USDC, USDT, or USD1) into escrow for a specific engagement.
  • Work — The VA performs the agreed work.
  • Approve — The Client reviews and approves milestones.
  • Release — Approved funds are released to the VA's wallet.

Funds in escrow are held via our payment partner's infrastructure. Linkage does not custody funds and does not have access to your private keys. The 10% transaction fee is deducted at the point of release.

6. Disputes & Resolution

If a Client and VA disagree on whether a milestone has been met, either party may initiate a dispute through the Platform. Linkage will review the evidence (messages, deliverables, time logs) and render a binding decision. Dispute resolution typically takes 5–10 business days. During a dispute, escrowed funds remain locked.

7. User Conduct

You agree not to:

  • Misrepresent your identity, qualifications, or intent.
  • Circumvent the Platform's escrow system to pay or receive payment off-platform.
  • Post offensive, discriminatory, or illegal content.
  • Harass, threaten, or defame other Users.
  • Attempt to hack, scrape, or otherwise exploit the Platform's systems.
  • Create multiple accounts to evade restrictions.

8. Intellectual Property

You retain ownership of content you post (profiles, headshots, intro videos, certificates). By posting, you grant Linkage a non-exclusive, worldwide license to display and distribute that content on the Platform for the purpose of facilitating matches and engagements. Linkage's brand, design, and code remain our intellectual property.

9. Data & Privacy

Our collection and use of your personal data is governed by our Privacy Policy. By using the Platform, you consent to data processing as described therein, including the processing of stablecoin transaction records and profile data.

10. Limitation of Liability

Linkage provides the Platform "as is" and is not liable for: the quality of work performed by VAs, the timeliness of Client payments, losses from stablecoin price fluctuations, or any indirect, incidental, or consequential damages. Our total liability shall not exceed the fees you paid in the preceding 12 months.

11. Indemnification

You agree to indemnify and hold harmless Linkage from any claims, damages, or expenses arising from your use of the Platform, your violation of these Terms, or your infringement of any third party's rights.

12. Termination

Either party may terminate this agreement at any time by deleting their account. Linkage may suspend or terminate accounts that violate these Terms, with or without notice. Upon termination: active escrow engagements will be resolved per the dispute process; transaction fees on any completed release remain due; profile data will be removed within 30 days (subject to legal retention requirements).

13. Governing Law

These Terms are governed by the laws of the Republic of the Philippines. Any disputes shall be resolved in the courts of Angeles City, Pampanga, Philippines.

14. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes via email or platform notification at least 30 days before they take effect. Continued use after changes constitutes acceptance.
